White-Label Reseller / Client Agreement
Effective: January 2025
For customers who create sub-accounts or use MooseMailer to manage email marketing for their own clients.
1. Reseller Rights
MooseMailer permits you to:
- Create sub-accounts
- Manage clients' contact lists
- Send campaigns on their behalf
- Bill your clients at your chosen rate
You are responsible for monitoring all accounts under your control.
2. Compliance Responsibility
You acknowledge that:
- You are the "Sender" under CASL/CAN-SPAM
- You must maintain proper consent
- You must monitor your clients' behaviour
- Abuse by any sub-account may result in suspension
3. Data Processing
You have full access to:
- Your client's contacts
- Campaigns
- Templates
- Reports
You agree to store, handle, and process client data lawfully and securely.
4. Prohibited Activities
Resellers may not:
- Resell to high-risk industries disallowed under Section 4 of our TOS
- Permit purchased/scraped lists
- Allow deceptive or fraudulent content
- Circumvent MooseMailer's rate limits or sending policies
5. Termination
MooseMailer may suspend reseller accounts if:
- Sub-accounts cause deliverability harm
- Excessive spam complaints occur
- Abuse or fraud is detected
- Billing fails or is disputed
Data may be retained or deleted based on compliance requirements.
6. Branding
Resellers may apply their own branding in emails and sub-account dashboards, subject to our guidelines and technical limitations.
7. Liability
Resellers are responsible for:
- All messages sent via their master account
- Legal compliance of all sub-accounts
- Deliverability and consent verification
MooseMailer is not liable for losses caused by reseller behaviour.
8. Pricing & Revenue
Resellers are free to set their own customer pricing. MooseMailer does not intervene in reseller–client billing relationships.
